1. Services Description
Zoo Media Group provides AI-powered marketing automation and media production services, including but not limited to:
- AI automation workflow design and implementation
- Social media management and content creation
- Email and SMS marketing automation
- Video production, editing, and distribution
- Brand strategy and visual identity design
- CRM setup and pipeline management
- Advertising campaign management
2. Account Registration and Security
To access certain services, you may need to create an account or provide access to existing accounts (e.g., social media, advertising platforms). You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information is accurate and up-to-date
3. Payment and Billing
Subscription Plans: Billed monthly in advance. You authorize us to charge your payment method on the billing date.
Installation Packages: One-time fees due upon project commencement unless otherwise agreed in writing.
Refunds: We offer a 14-day money-back guarantee for new subscription plans. Installation packages are non-refundable once work has commenced, but we will work with you to ensure satisfaction.
Late Payments: Accounts past due by more than 15 days may be suspended. A reactivation fee of $50 may apply.
4. Service Level and Performance
We strive to deliver high-quality services, but we do not guarantee specific results (e.g., number of leads, sales, or followers). Marketing performance depends on many factors outside our control.
We commit to:
- Responding to support requests within 1 business day
- Delivering agreed-upon work within specified timeframes
- Maintaining open communication about project status
- Providing monthly performance reports for active subscriptions
5. Client Approval Process
Critical Policy: All client campaigns involving public release of material require human approval at two stages:
- Plan Stage: Strategy and content plan must be approved before production begins
- Production Stage: Final content must be approved before public release
This ensures quality control and prevents embarrassing or damaging content from being published. AI assists in creation but never has final authority to publish client-facing material.
6. Intellectual Property
Your Content: You retain all ownership rights to your existing content, trademarks, and brand assets.
Work Product: Upon full payment, you own the final deliverables we create for you (e.g., videos, graphics, copy). We retain the right to use non-confidential work for portfolio and marketing purposes unless you request otherwise in writing.
Our Tools: We retain ownership of our proprietary tools, templates, systems, and methodologies. You receive a license to use deliverables but not the underlying tools.
7. Confidentiality
We treat all client information as confidential. We will not disclose your business information, strategies, or data to third parties except as necessary to perform services or as required by law.
We do not collect, generate, or distribute adult content, sexually explicit material, or content that violates Christian morality as defined by the Catholic Church.
8. Limitation of Liability
To the maximum extent permitted by law, Zoo Media Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or relating to your use of our services.
Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Term and Termination
Subscriptions: Continue month-to-month until cancelled by either party. You may cancel anytime with 7 days' notice before your next billing date.
Installation Packages: Governed by the project agreement and statement of work.
Termination for Cause: Either party may terminate immediately if the other breaches these Terms and fails to cure within 15 days of written notice.
Effect of Termination: Upon termination, you remain responsible for all outstanding payments. We will provide you with copies of your data and deliverables within 30 days.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Saskatchewan, Canada, without regard to conflict of law principles.
11. Dispute Resolution
Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, either party may pursue mediation or binding arbitration in Regina, Saskatchewan.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our website. Continued use of our services after changes constitutes acceptance.
13. Entire Agreement
These Terms, together with any written agreements or statements of work, constitute the entire agreement between you and Zoo Media Group regarding our services.
